Terms of Service

1. Acceptance of Terms

By accessing or using the Virtual Web Help website (virtualwebhelp.com) and any services provided by Virtual Web Help ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

2. Services Provided

Virtual Web Help provides digital marketing and web services including, but not limited to:

  • Website design and development
  • Search Engine Optimization (SEO)
  • Google Business Profile optimization
  • Online reputation management
  • Marketing automations
  • Local Service Ads management

The specific scope, deliverables, timeline, and pricing for services will be outlined in a separate service agreement or statement of work executed between you and Virtual Web Help.

3. Client Responsibilities

You agree to provide accurate, complete information about your business, including but not limited to business name, contact information, service descriptions, and any credentials needed to access existing accounts (website hosting, Google Business Profile, domain registration, etc.). You are responsible for the accuracy and legality of any content you provide to us for use in your website, listings, or marketing materials. You represent that you have all necessary rights to any materials (images, text, logos) you provide to us.

4. Payment and Billing

Fees for services are outlined in your service agreement or as displayed on our pricing page. Unless otherwise agreed in writing, payment terms are net 15 days from invoice date. Ongoing monthly services are billed in advance at the beginning of each billing period. Late payments may result in suspension or termination of services. All fees are non-refundable except as expressly stated in your service agreement.

5. Intellectual Property

Client Content: You retain all rights to content you provide to us, including business names, logos, images, and written content.

Deliverables: Upon full payment for services, you receive ownership of the final website design, code, and content we create specifically for you. We may use third-party tools, libraries, and frameworks in the development of your website which are subject to their own licenses.

Portfolio Rights: We reserve the right to display your website and business name in our portfolio, on our website, and in marketing materials unless you request otherwise in writing.

6. Third-Party Services

Our services may integrate with or rely on third-party platforms and services including, but not limited to, Google (Google Business Profile, Local Service Ads, Google Ads), domain registrars, hosting providers, email service providers, and scheduling tools. We are not responsible for the availability, functionality, or terms of these third-party services. Your use of such services may be subject to additional terms and conditions imposed by those providers.

7. Limitation of Liability

To the fullest extent permitted by law, Virtual Web Help and its officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, goodwill, or business opportunities — arising from your use of our services or website.

Our total liability for any claim arising from our services shall not exceed the total amount paid by you to Virtual Web Help in the twelve months preceding the claim. We make no guarantees regarding specific outcomes from our services, including but not limited to search engine rankings, website traffic volumes, lead generation numbers, or revenue increases. Results depend on many factors including market conditions, competition, and your industry.

8. Disclaimer of Warranties

All services are provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or completely secure, or that results or data obtained from our services will be accurate or reliable.

9. Termination

By You: You may cancel ongoing services at any time by providing written notice. Cancellation is effective at the end of the current billing period. No refunds are provided for partial months.

By Us: We may terminate or suspend services at any time for: (a) non-payment, (b) violation of these Terms, (c) provision of false or misleading information, or (d) any conduct we reasonably determine to be harmful to our business, reputation, or other clients. Upon termination, we will provide reasonable assistance in transitioning your digital assets to you or your designated provider.

10. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the business relationship. This includes, but is not limited to, business strategies, client data, financial information, and trade secrets. This obligation survives termination of services.

11. Indemnification

You agree to indemnify and hold harmless Virtual Web Help, its officers, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) content you provide to us, (b) your use of the website or services we build for you, (c) your violation of these Terms, or (d) your violation of any third-party rights, including intellectual property rights.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved exclusively in the state or federal courts located in Multnomah County, Oregon.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page with an updated effective date. Continued use of our services after changes are posted constitutes acceptance of the modified Terms. We will notify active clients of material changes via email.
